This SPEAKER CONTRACT for the personal services of an individual to speak at the event to be described below, is made between Kuana'ike, Inc., having its principal place of business at 47-304C Lulani St, Kaneohe, Hawaii 96744 (hereinafter called “Kuana'ike”) and the undersigned speaker, hereinafter called the “Speaker,” for the personal services of the Speaker.

PAYMENT: All payments will be in form of a check issued by Kuana`ike and will be payable to SPEAKER as indicated in Number 2. above.

INDEPENDENT CONTRACTOR:
The Speaker, its officers, agents and employees (if applicable), in the performance of this Speaker Contract shall act in the capacity of an Independent Contractor and not as an officer, employee or agent of Kuana'ike. The Speaker agrees that it shall take such steps as may be necessary to ensure that any subcontractor or contractor shall be deemed to be an independent contractor and will not be considered or permitted to be an agent, servant, joint venturer or partner of the Kuana'ike. As such, the parties will each be responsible for their own acts of negligence as determined by law.
7. LIABILITY:
(a) Kuana'ike is self-insured for liability protection. Such protection applies to Kuana'ike and its officers and employees only.
(b) The Guest Speaker shall indemnify, defend and hold harmless Kuana'ike, its related entities, officers, agents and employees from and against all claims, legal proceedings or damages, arising out of Speaker’s breach of this Agreement or the Speaker’s negligence or willful misconduct.
8. DISPUTES
(a) This Speaker Contract and any proceedings conducted hereunder shall be governed and enforced under the laws of the State of Hawaii.
(b) All disputes shall be submitted in writing to Purchasing, 21 N Park St., Ste 6101, Madison, WI 53715 1218. Purchasing will be final authority for all disputes not resolved through the sponsoring organization. Disputes regarding the terms of the Speaker Contract or claims arising out of its execution or performance may be resolved in any Wisconsin court with competent jurisdiction.
(c) This Speaker Contract, and the terms and conditions contained herein, may be enforced by the University and by each Speaker who is a party to this Speaker Contract, or who has, in fact, performed the engagement contracted for, and by the agent(s) of each Speaker.
9. CANCELLATIONS:
(a) Either party may cancel this Speaker Contract without obligation to the other if cancellation notice is received in written form at least 3 days before appearance date
(b) If, due to illness, accident, or other causes legally known as Acts of God, Speaker is forced to cancel a Speaker Contract, neither party, nor any representative shall be liable for any payment.
10. MISCELLANEOUS:
(a) No speech shall be recorded, reproduced, or transmitted from the place of speech, in any manner or by any means whatsoever, unless there is a specific written amendment to this Speaker Contract, initialed by the Speaker, relating to and permitting such recording, reproduction, or transmission. Kuana'ike will make a reasonable effort to prevent individuals from doing so.
(b) Details and manner of speech are under the control of the Speaker after consultation with Kuana'ike regarding the topic or general scope of Speaker’s speech.
(c) Anticipated starting times specified in the Speaker Contract, subject to minor modifications because of unanticipated occurrences, are of the essence and hence, Speaker is required to be at place of performance a sufficient period of time prior to schedule time of commencement so as to permit timely presentations.
11. PROMOTION: Both Sponsor and Talent shall be responsible for promotion of the Appearance and shall cooperate with each other in promoting the appearance.
12. USE OF NAME AND IMAGE: The Sponsor shall be entitled to use the name and image of the Speaker in connection with the appearance. Speaker name may not be used or associated either directly or indirectly, with any product or service without prior written consent. Any requests for interviews must be in writing.
13. ENTIRE AGREEMENT AND NOTICE
(a) This Speaker Contract constitutes the entire agreement between the parties.
(b) Any requirements that Kuana'ike comply with terms, provisions, or directions of any agreements, indentures, declarations of trust, etc., shall only be binding if the specific terms of the same are made known to and agreed to by Kuana'ike, in writing by the persons listed below, in advance of the Speaker Contract execution or are made part of this Speaker Contract prior to the signing of the Speaker Contract by Kuana'ike.
(c) This Agreement may be modified or amended in writing signed by authorized signatories of the Speaker and Kuana’ike.
12. EXECUTED CONTRACT SIGNATURE: This Speaker Contract shall be binding upon the parties hereto, their successors and assigns, upon due execution by both parties. The undersigned represents that he/she is a representative authorized to sign on behalf of the Speaker and to enter into this Speaker Contract.

Speaker terms
Please read this document carefully and in full. By acknowledging this document when registering for Spirit Fest 2025, you agree to be legally bound by this agreement and release of liability. This is a binding legal contract between you and Kuana‘ike Inc. This contract is regarding the “Spirit Fest 2025” event (hereinafter “Event”) that includes three days of instruction time.
1. FINANCIAL TERMS: Total retreat cost is a flat fee of $___500___ per person. All payments must be made via __external sales page link on website or directly furnished by Kuana’ike__. The flat fee set forth above includes the following: three days of instruction time and one additional optional day for a service project.. The flat fee set forth above does not include anything not expressly listed above; airfare and other travel costs, travel to and from the Event, parking fees, lodging, and personal expenses are not included.
2. CANCELLATIONS: All cancellations received are refunded per the terms and schedule as follows: If participant cancels the retreat booking on or before _March 14 __, 2025= $_100___ cancellation fee forfeited as well as any credit card processing fees incurred. Cancel retreat booking on or after _March 14_, 2025: 100% of retreat costs forfeited unless your spot can be filled. If your space can be filled, your refund will be $_500 less $150_.
3. DIETARY NEEDS: No refreshments will be provided by The Hyatt Regency Waikiki Beach Resort and Spa (2025 event venue). Every effort has been made to accommodate a variety of eating preferences. Please notify Kuana’ike in writing if you have a medical restriction.
4. This is a non-smoking and alcohol free event. COVID precautions will be determined by local and federal recommendations at the time of the event.
5. TRAVEL INSURANCE: Baggage, accident, medical and trip cancellation/interruption insurance can be purchased from a third party of your choice and is not included in the Event price. Kuana’ike cannot be responsible for extra expenses due to delays and changes in your travel itinerary that affect your participation in the Event.
6. VOLUNTARY PARTICIPATION: I acknowledge that I have voluntarily requested to participate in the Event.
7. ASSUMPTION OF RISK AND WAIVER OF LIABILITY AND RELEASE: In consideration for being permitted to participate in the Event, I hereby agree that I, my assignees, heirs, guardians, and legal representatives will not make a claim against, sue or attach the property of Kuana’ike, its agents, owners, affiliates, employees or volunteers, sponsors, and all other persons or entities acting on its behalf (“collectively “Kuana’ike”) and that I hereby agree to the following Waiver of Liability and Release. I do hereby release and forever discharge Kuana’ike from any and all liability, claims, and causes in action, which arise or may hereafter arise or are in any way connected to my involvement in the Event. I understand that this Agreement discharges Kuana’ike from any liability or claim that the I may have against Kuana’ike with respect to any bodily injury, personal injury, illness, death, or property damage that may result from my involvement in the Event, whether caused by the negligence of Kuana’ike or otherwise. I also understand that Kuana’ike does not assume any responsibility for or obligation to provide financial assistance or other assistance, including but not limited to medical, health, or disability insurance in the event of injury or illness. I hereby agree to indemnify and hold harmless Kuana’ike from any liability, claims, and causes in action, which are in any way connected to my involvement in the Event or use of Kuana‘ike facilities or equipment, including any such claims which allege negligent acts or omissions of Kuana’ike. I am aware that during my participation in the Event, certain risks and dangers may arise, including, but not limited to, the hazards of traveling to the Event, forces of nature, an accident, or the onset of illness. Also, I am aware and clearly understand that Kuana’ike will not have liability regarding provision of medical care, the speed of evacuation or the adequacy of any care that may be rendered. I understand that Kuana‘ike will use their best efforts to ensure that all adequate measures are taken to avoid such occurrences. I acknowledge that I alone am responsible for my choices, actions, and results during and after the Event. I accept full responsibility for the consequences of my use or non-use of any information provided during the Event. I agree to use my own judgment and due diligence before implementing any idea, suggestion, or recommendation made during the Event in my life, family, or business. I agree that there can be no guarantees as to the outcome or result of using the information I receive during the Event.
8. PERSONAL PROPERTY: I acknowledge and agree that I am responsible for my own equipment and all personal property during the Event and that Kuana’ike is not responsible in any way for such property whether it is lost, stolen or damaged.
9. AUTHORIZATION TO SEND TEXT MESSAGES: I authorize Kuana'ike to send text messages to my cell phone to convey information in regard to Spirit Fest. I understand that standard text messaging rates will apply to any message received from Kuana'ike. I also agree to not hold Kuana'ike or Spirit Fest liable for any electronic messaging charges or fees generated by this service. I understand I may opt out of text messages at any time.
10. ALTERNATIVE DISPUTE RESOLUTION: Any disputes between the parties relating to the Event or this Agreement shall be submitted first to private mediation in the State of Hawai‘i with a private mediator upon whom the parties agree. If the parties cannot agree upon a mediator, each party will select a mediator and together those mediators will select the mediator to be used. The parties shall share the cost of mediation equally. The parties will cooperate with the mediator and participate in good faith in the mediation. If the mediator determines that the parties are at an impasse, venue for any legal action shall be in the state of Hawai‘i circuit or federal courts.
11. This agreement shall be governed and construed in accordance with the laws of the State of Hawai‘i, without regard to its conflict of laws rules. By agreeing to the terms of this document alone when registering through Kuana’ike, I warrant the following:

TERMS & CONDITIONS
I hereby grant Kuana'ike permission to use my likeness in a photograph in any and all of its publications, including but not limited to all of Kuana'ike's printed and digital publications. I understand and agree that any photograph using my likeness will become property of Kuana'ike and will not be returned.
I acknowledge that I will receive no financial compensation for the use of said media.
I hereby irrevocably authorize Kuana'ike to edit, alter, copy, exhibit, publish or distribute this photo for purposes of publicizing Kuana'ike's programs or for any other related, lawful purpose. In addition, I waive the right to inspect or approve the finished product, including written or electronic copy, wherein my likeness appears. Additionally, I waive any right to royalties or other compensation arising out of, or related to, the use of the photograph.
I hereby hold harmless and release and forever discharge Kuana'ike from all claims, demands, and causes of action which I, my heirs, representatives, executors, administrators, or any other persons acting on my behalf or on behalf of my estate have or may have by reason of this authorization.
I am at least 18 years of age and am competent to contract in my own name. I have read this release before clicking acknowledgement on the sales page and I fully understand the contents, meaning, and impact of this release.
